Please read these Terms of Service ("Terms") carefully before accessing or using the Adaptward website, services, products, or technology platform (collectively, the "Services") provided by Adaptward, LLC ("Adaptward," "we," "us," or "our"). By accessing or using any part of our Services, you ("Client," "User," or "you") agree to be legally bound by these Terms and our Privacy Policy.

If you do not agree to all of these Terms, you may not access or use the Services. These Terms apply to all visitors to our website, prospective clients, and all business clients using our Services.

1. Overview of Services

Adaptward provides white-labeled AI-powered assistants, branded and trained for each client business, deployed through a managed platform (currently powered by Stammer.ai). Services may include:

• Website-integrated AI Assistant deployment

• Assistant training on business-specific information

• Client dashboard access (via white-labeled Stammer.ai portal)

• CRM, calendar, or other third-party integrations and automations

• Strategy, implementation, and ongoing support

The Services are provided primarily to U.S.-based small and mid-sized businesses.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts to use Adaptward’s Services. By using the Services, you represent and warrant that:

• You are acting on behalf of a legitimate business entity

• You have all rights and permissions to provide business content, branding materials, or third-party account access

• You are not prohibited by law from using our Services

  
  

3. Account Registration & Access

To access certain features of our Services, you may be required to create an account or submit onboarding information. You agree to:

• Provide accurate, complete information

• Maintain the confidentiality of your account credentials

• Notify Adaptward immediately of unauthorized use or suspected breach

You are solely responsible for activities that occur under your account.

4. License & Acceptable Use

Adaptward grants you a limited, non-exclusive, non-transferable, revocable license to use our Services solely for your business’s internal purposes. You agree not to:

• Copy, modify, reverse-engineer, decompile, or disassemble any part of the Services

• Use the Services to transmit unlawful, misleading, harmful, or inappropriate content

• Attempt unauthorized access to Adaptward’s infrastructure or any third-party systems

• Use the Services to solicit or collect sensitive data (e.g., credit card numbers, health information)

Adaptward reserves the right to suspend or terminate access for violations.

5. Fees & Payments

All pricing is as disclosed during your onboarding or subscription process.

• Subscription fees are billed monthly or annually as selected

• Setup fees (where applicable) are one-time and non-refundable

• Fees are exclusive of taxes unless stated otherwise

• Payments are processed via third-party payment provider (e.g., Stripe)

Late or failed payments may result in service suspension. You authorize us to continue billing your payment method unless canceled in accordance with these Terms.

6. Client Responsibilities

You are responsible for:

• Providing accurate, non-infringing business data and materials

• Configuring your AI Assistant (with our help) not to request or store sensitive personal data

• Complying with applicable laws, including privacy and marketing laws, in your use of the Services

Adaptward is not liable for end-user content submitted to your Assistant, and we strongly advise instructing your Assistant to avoid soliciting regulated or high-risk data.

7. Third-Party Services & Subprocessors

Adaptward uses third-party platforms to deliver services (see Appendix A in our Privacy Policy). These include:

• Stammer.ai (AI functionality)

• OpenAI, Anthropic (AI model providers)

• Stripe, MailerLite, Zapier, Calendly, Google Workspace, and others

By using our Services, you consent to the use of such subprocessors and acknowledge that their terms and policies apply. Adaptward is not liable for the security or data practices of unaffiliated third parties. See our Privacy Policy for more details on third-party platforms and integrations.

8. Intellectual Property

All intellectual property in our Services (excluding your business data and trademarks) is owned by Adaptward or its licensors. You retain ownership of your business content. You grant us a limited license to use such content solely to deliver and improve the Services.

You may not use the Adaptward name, logo, or branding without express written consent.

9. Confidentiality

Both parties agree to keep confidential any non-public, proprietary information disclosed in connection with the Services. This includes business strategies, technical data, pricing, and customer information.

Confidentiality obligations survive termination of these Terms.

10. Data Privacy

Use of personal and business data is governed by our Privacy Policy. By using our Services, you consent to:

• The collection and use of business data to train and deploy AI Assistants

• The use of email addresses for transactional and limited marketing communications

• Data processing via approved subprocessors as described

You represent that you have obtained any necessary consents from your end-users or personnel.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind. Adaptward does not guarantee:

• Accuracy or correctness of AI-generated outputs

• That the Services will be uninterrupted or error-free

• Suitability of the Services for your specific business or legal requirements

You are solely responsible for how you use the Services.

12. Limitation of Liability

To the maximum extent permitted by law:

• Adaptward shall not be liable for indirect, incidental, or consequential damages

• Total liability shall not exceed the amount paid by you in the 12 months prior to the event giving rise to the claim

• Adaptward is not liable for actions of third-party providers, LLMs, or end-user behavior

  
  

13. Indemnification

You agree to indemnify and hold Adaptward, its affiliates, and personnel harmless from any claims, liabilities, losses, and expenses arising out of:

• Your use of the Services

• Your violation of these Terms

• Any data, content, or actions taken by your AI Assistant at your direction

  
  

14. Termination

Either party may terminate Services with written notice or via platform settings. Upon termination:

• Your access to the dashboard and Assistant may be disabled

• All unpaid fees remain due

• We may delete stored data after 30 days, unless required by law to retain

Adaptward may suspend or terminate your access for cause, including breach of these Terms.

15. Changes to Terms

We may update these Terms from time to time. When changes are made, we will:

• Post the updated Terms on our website

• Update the Effective Date above

Continued use of the Services after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in King County, Washington.
